Partner programme terms

Version v1.3. The version in force when you are approved is recorded on your account and applies to everything you earn under it, even if these terms change later.
1. Who this is for
These terms apply between Vanguard Veil Limited, trading as Oncu (“Oncu”, “we”), and you, once we have accepted your application and you have signed the partner agreement. Nothing in the programme begins until both have happened.
The programme is open to anyone in the United States. You do not need existing contacts in home care, and you do not need a background in the industry — most partners are given a territory and work from the list we provide. If you already know agencies, you can introduce them directly instead, or do both.
There are two ways to be paid. On the partner track you are paid in cash. If you are already an Oncu customer you are on the customer track and earn credit against your own subscription. The rules are otherwise identical.
2. What you are paid
For each agency that becomes a paying Oncu customer through you, you are paid $500 per month for that agency’s first six months, and then $100 per month through that agency’s month twenty-four — a maximum of $4,800 from a single agency.
The first fifty partners approved into the programme keep that $100 a month through month thirty-six instead — a maximum of $6,000 per agency — permanently, on every agency they ever bring in. When the fiftieth founding place is taken the window closes and does not reopen.
Each month is earned only when that agency actually pays their invoice for the month. If they leave, the payments stop; nothing you have already been paid is affected.
Your whole schedule — both rates and both end months — is fixed at the moment we approve you and does not change for you afterwards, even if we change what the programme pays new partners.
The amounts do not vary with the size of the agency, the number of caregivers they have, what they bill, what they pay us, or how many agencies you have brought in. It is the same $500 every time. On the customer track the reward is a fixed number of months of account credit, on the same basis.
This is deliberate. Oncu’s customers are largely paid by Medicaid, and a fee that varied with the volume or value of their business would be a materially different arrangement under federal and state healthcare law than fixed amounts agreed in advance. We will not offer a percentage, tiered rates, or bonuses tied to what an agency bills, and we will not agree to one if asked.
3. Territory and leads
Where we grant you access to the lead catalogue, you receive leads for the region or regions granted to you and no others. Territory grants are ours to make and to withdraw.
A lead you claim is exclusively yours while your lock lasts. Leads you do not work return to the pool automatically so that they are not left sitting with someone who has moved on.
The catalogue is built from public provider registries and is the only source you may use for cold outreach under this programme. No imported lists, no purchased lists, and no numbers gathered elsewhere.
4. The rules for calling
All outreach follows the Calling Conduct Policy, which you sign and which forms part of these terms. The console enforces most of it directly: it refuses calls outside the region’s calling window measured in the person’s own timezone, refuses a lead that has hit its attempt cap, and refuses any number ever marked do-not-call. Suppression is permanent and cannot be edited by anyone.
You must identify yourself and Oncu in the first sentence of every call and say why you are calling. If someone asks you to stop, log it before you do anything else — there is a one-click button for exactly that. Log every attempt truthfully with its real outcome. Never record a call; the capability does not exist and must not be added around the system.
Every attempt is logged with your identity and the time it was local to the person you called, and the record is reviewed. Deliberately working around a system gate, or fabricating a log entry, ends your participation.
5. What counts as a referral
- A visitor clicks your referral link and we record that click, along with a first-party cookie in their browser.
- Within 90 days of that click, they sign up for Oncu using the same browser.
- The first partner whose link they clicked is credited. If someone clicks two partners’ links, the earlier click wins.
- The agency can be verified against the public record — an active listing in the registries the lead catalogue is built from, and real, reachable operations. An agency we cannot trace back to an independent public record does not qualify, whatever it pays.
- They sign and pay their first invoice. The reward is earned on payment, not on signature.
Cookies get cleared, blocked and expired. If the cookie is gone when someone signs up, we have no way to connect them to you and the signup is treated as organic. We do not use cross-site tracking or third-party pixels to work around this.
6. What does not count
- Yourself, your own company, or any business sharing your email domain.
- An agency that was already an Oncu customer, or already in conversation with us, before the click.
- An agency another partner has already claimed. The first claim wins and holds for the length of the window.
- Signups from bot traffic, purchased lists, or automated clicking.
- An agency that never pays an invoice, however far through the process they got.
- Any arrangement where you rebate or share your fee with the agency to persuade them to sign up.
7. When you get paid
There is no holding period. A month’s reward is payable the instant that agency’s invoice is paid — the same event that pays Oncu pays you. A reward that has been paid to you is final: never reversed, never recovered, and never offset against future earnings.
We can afford that because Oncu’s service terms allow no refunds once the trial has ended, and a cancellation only takes effect for the upcoming month. An agency that cancels after paying remains your conversion. Payment disputes and chargebacks are our risk to carry, not yours.
Withdraw whenever you like, any time your balance is above the programme minimum, or leave it and the monthly run will collect everything payable. Balances under the minimum roll forward rather than being lost. If a transfer fails, the amount returns to your balance and can be withdrawn again straight away.
Cash payouts are made through Stripe Connect — you complete Stripe’s own identity checks and Oncu never holds your bank details. Account credit on the customer track is applied to your next invoice and is never paid out as cash.
The only thing that can pause a payment is an open fraud review on one specific referral — including an agency we cannot verify against the public record. It pauses that referral and no other. A review either clears, and payment goes through immediately, or rejects that referral for a stated reason. Either way the reason is recorded and you can see it.
Depending on where you and we are based, compliance documentation may be required before we can release a payout above a certain amount. We will tell you what is needed before it becomes a problem.
Query any amount within 30 days of the statement showing it, in writing, through the portal. We answer with the underlying record within 14 days. Every change of state is written to a record that cannot be edited, so a disagreement is settled by looking rather than arguing.
8. What you must do
Disclose that you are paid. On a call, say it in the first few sentences. Anywhere you write it — a post, a video, an email, a page, a talk — say it in the recommendation itself, not behind a link, not in a footer, and not only on a separate disclosures page. We give you wording in the portal; you may use your own as long as it is just as plain.
Don’t spam anyone. No unsolicited text messages, no automated or pre-recorded calls, no purchased lists, and a working unsubscribe link on every marketing email you send. Your sending is yours; Oncu is not the sender and our own messaging registration does not cover it.
Don’t speak for us. Open the door and let us take it from there. Don’t promise results, quote figures we have not published, describe yourself as employed by Oncu, bid on our name in paid search, or represent that you can negotiate our pricing.
9. What you will never see
Your portal and console show your own leads, referrals and earnings, with each prospect’s address partly masked. You will never be given access to anything Oncu holds on behalf of an agency: no visit records, no caregiver or client information, no compliance findings, and no figures about any customer’s billing — not individually and not in aggregate. This is a structural limit on the partner portal, not a permission we could grant.
Lead data — business names, business numbers and business addresses from public registries, plus your own call notes — is held in the system, worked in the system, and never exported to personal devices, spreadsheets or other tools. On termination your access ends immediately and nothing leaves with you, because nothing was ever outside the system.
10. Suspension and ending
Either of us may end this arrangement on 30 days’ written notice. If you end it, or we end it for ordinary reasons, rewards already earned are paid in the normal run and rewards already paid are unaffected. No further months accrue on any agency after termination takes effect.
We may suspend an account immediately while we investigate self-referral, fabricated or automated signups, undisclosed paid endorsement, spam complaints, breach of the calling rules, or misrepresentation of Oncu. We will tell you why, and you can respond — these are judgements made by a person, not automatically. A breach of the Calling Conduct or Data Handling policies is always treated as material.
11. Changes
We may change these terms for the future by publishing a new version and telling you, with 30 days’ notice. Changes do not alter the schedule fixed on your account. If a holding period were ever introduced it would apply only to rewards earned after the change, with notice, and would never touch anything already earned.
12. The legal bits
You are an independent contractor. Nothing here creates employment, partnership, agency or a joint venture, and neither of us can bind the other. You are responsible for your own obligations arising from the fees you receive.
You are not a business associate of Oncu for the purposes of HIPAA, and the programme is built so that you never receive protected health information. If you ever receive such information by mistake, tell us immediately and delete it.
Our total liability under the programme, beyond paying what these terms say we owe, is capped at the fees paid to you in the preceding twelve months. These terms are governed by the laws of the State of Ohio, and disputes go to the state and federal courts sitting in Franklin County, Ohio.
